JavaMUG Board Meeting — October 2004

Time: approx. 9:10 to 9:30 pm -- informal meeting continued until 9:55

Elections

Need to add the number of positions -

Four vacancies - Barbara, Suresh, Glen, Alex + extra position unfilled.

Officers - need to be up for election

Dan will modify his original email - (October 13^th, 2004)

Will put that 5 board members are up for nomination & election in the email as well. He will need to indicate that board position are two year term. Will change "elected position(s)" to "elected officer." Remove October meeting. Dan will put the date - November 6^th by midnight as the due date. Hopefully the notice can go out for those running to JavaMUG membership on the Monday to allow them, the membership, 2 days to think about it.

Motion: This modified email will be sent to the JavaMUG membership tonight.

All in favor - motion passed unanimously.

Procedures

Discussion of voting procedure - two votes. Need to have a method to indicate who is running for which position.

Jean will need to put out the excel sheet.

Dan will send the sign-up sheet.

Can we accept membership by email - sent to the message to Jim and Dan for membership.

Couple of people will need to count - Jean and Alex and a non-board member.

Need the counts from the last four meetings - of membership attendance. Need to check if we have a quorum.

Next Motion: The Proxy vote -

Necessary - how the proxy to allow another board member to represent the absent board member so they can count towards a quorum.

Need to send the discussion on to email.

Another possible solution - reduce the size of the quorum.

The problem is that majority — reduce the size of the board. This has been discussed on the email.
